Leadzo Technologies Private Limited (hereinafter referred to as 'Leadzo', 'the Company', 'we', 'us', or 'our') is a company incorporated under the Companies Act, 2013, bearing Corporate Identity Number U62013KA2025PTC209717, having its registered office at WORKFLO RANKA JUNCTION, Property No. 224, 3rd Floor, Ranka Junction - 80/3, Vijinapur Village, Old Madras Road, K R Puram Hobli, Bangalore, Karnataka – 560016. Leadzo operates the online platform accessible at www.leadzo.co.in and its associated mobile applications (collectively, the 'Platform').
Leadzo operates as an Information Technology Intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, providing a technology-enabled marketplace that facilitates introductions between persons seeking professional services ('Buyers') and persons offering professional services ('Service Professionals' or 'Sellers'). Leadzo does not itself provide any End Services and does not employ Sellers to do so.
The Company is registered under the Goods and Services Tax Act, 2017, bearing GSTIN 29AAGCL5322D1ZO. The Company has appointed a Grievance Officer as required under Rule 3(2)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. THESE TERMS AND CONDITIONS ('Terms', 'Agreement') constitute a legally binding contract between you ('you', 'Buyer', 'Customer') and Leadzo Technologies Private Limited, and govern your access to and use of the Platform and the Facilitation Services made available to you by Leadzo. THESE TERMS SHALL BE READ IN CONJUNCTION WITH LEADZO'S PRIVACY POLICY AND COOKIE POLICY PUBLISHED ON THE PLATFORM, WHICH ARE INCORPORATED INTO THESE TERMS BY REFERENCE AND FORM PART OF THIS AGREEMENT. BY SUBMITTING A SERVICE REQUEST ON THE PLATFORM, BROWSING THE SELLER LISTINGS, COMPLETING OTP VERIFICATION, OR ACCESSING OR USING ANY PART OF THE PLATFORM, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM.
This Agreement is governed by applicable Indian law, including but not limited to:
- The Indian Contract Act, 1872
- The Information Technology Act, 2000 (Sections 2, 43, 66, 72, 79, and 85)
- The Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
- The Digital Personal Data Protection Act, 2023
- The Consumer Protection Act, 2019
- The Consumer Protection (E-Commerce) Rules, 2020
- The Arbitration and Conciliation Act, 1996 (as amended by the Arbitration and Conciliation (Amendment) Act, 2019)
- The Mediation Act, 2023
1. Definitions and Interpretation
1.1 Definitions
In these Terms, unless the context otherwise requires, the following expressions shall have the meanings ascribed to them herein:

| Service Professional / Seller | Any individual, sole proprietor, partnership firm, Limited Liability Partnership, private limited company, or other legal entity registered on the Platform for the purpose of offering End Services to Buyers. |
| Buyer-Initiated Contact | A service request that originates when a Buyer independently browses the Seller Listings on the Platform and directly selects and contacts a specific Service Professional of their choosing by requesting a quotation or a callback. |
| Data Fiduciary | Has the meaning assigned to it under Section 2(i) of the Digital Personal Data Protection Act, 2023. |
| Data Principal | Has the meaning assigned to it under Section 2(j) of the Digital Personal Data Protection Act, 2023. |
| DPDP Act | The Digital Personal Data Protection Act, 2023, and all rules and regulations made thereunder, as amended from time to time. |
| End Services | The professional services provided by a Service Professional to a Buyer pursuant to a Service Contract, which are entirely independent of and separate from the Facilitation Services provided by Leadzo. |
| Facilitation Services | The services provided by Leadzo to Buyers under this Agreement, comprising the identification and matching of relevant Service Professionals, the provision of Seller contact details or the facilitation of direct contact, and all ancillary technology services offered through the Platform. The Facilitation Services are provided to Buyers free of charge. |
| Grievance Officer | The officer appointed by Leadzo in accordance with Rule 3(2)(b) of the IT Rules, 2021, whose contact details are set out in Clause 10.3 of these Terms. |
| IT Act | The Information Technology Act, 2000, and all rules, regulations, and guidelines made thereunder, as amended from time to time. |
| IT Rules, 2021 | The Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended from time to time. |
| OTP Verification | The process by which Leadzo verifies a Buyer's identity and contact details by sending a one-time password to the Buyer's registered mobile number or email address, required as a condition of accessing certain features of the Platform. |
| Personal Data | Has the meaning assigned to it under Section 2(t) of the DPDP Act. |
| Platform | The website www.leadzo.co.in, its associated mobile applications, application programming interfaces, and all digital infrastructure operated by Leadzo Technologies Private Limited. |
| Platform-Matched Request | A service request submitted by a Buyer through the Platform, which is matched by Leadzo's algorithm to eligible Service Professionals based on their registered service categories and location preferences. A Lead alert is sent to all matched Professionals, of whom a maximum of three (3) may unlock and access the request. Once three (3) Professionals have unlocked the request, it is no longer available to other Professionals. |

| User Content | Any content, data, text, images, reviews, or other materials submitted or uploaded by a Buyer to the Platform, including service requests, questionnaire responses, and reviews of Service Professionals. |
1.2 Rules of Interpretation
In the interpretation of these Terms, unless the context requires otherwise: all headings are for convenience of reference only and shall not affect the construction of these Terms; references to any statute include all amendments and subordinate legislation made thereunder; the words 'include', 'includes', and 'including' are construed without limitation; references to 'in writing' include email; words importing the singular include the plural and vice versa; and any obligation not to do something includes an obligation not to allow that thing to be done.
2. The Facilitation Services
2.1 Nature of Leadzo's Role
Leadzo operates the Platform as an Information Technology Intermediary within the meaning of Section 2(1)(w) of the IT Act. Leadzo's role is strictly limited to providing Facilitation Services, that is, connecting Buyers with Service Professionals who may be able to meet the Buyer's requirements. Leadzo does not provide, supervise, direct, or control the End Services provided by any Service Professional.
Important: Leadzo acts only as a facilitator. The provision of any End Services by a Service Professional to a Buyer is subject to an entirely separate and independent Service Contract between the Buyer and the relevant Service Professional. Leadzo is not a party to any Service Contract. If there are any issues with the performance of End Services by a Service Professional, your rights of redress lie against the Service Professional directly under your Service Contract and applicable consumer protection law, and not against Leadzo.
2.2 The Facilitation Services Are Free to Buyers
The Facilitation Services provided by Leadzo to Buyers are offered free of charge. Buyers are not required to purchase Credits or subscribe to any plan to submit service requests or use the Buyer-facing features of the Platform. Leadzo's revenue is derived from Service Professionals who purchase Credits to access Buyer requests.
2.3 How the Platform Works, Two Ways to Connect
There are two ways in which a Buyer may be connected with Service Professionals on the Platform:
(a) Submit a Service Request, Platform-Matched
You may submit a service request by completing the questionnaire on the Platform, describing your requirements, location, and timeline. Leadzo will verify your contact details through OTP Verification before processing your request. Upon verification, Leadzo's matching algorithm will identify Service Professionals whose registered service categories and location preferences match your stated requirements and send them a Lead alert. A maximum of three (3) Professionals may respond to your request. This means you will hear from no more than three relevant Professionals, keeping your experience focused and free from unnecessary contact.
(b) Browse and Contact Directly, Buyer-Initiated
Following OTP Verification, you may also browse the Seller Listings on the Platform and independently select and contact specific Service Professionals of your choosing by requesting a quotation or a callback. There is no restriction on the number of Service Professionals you may contact through this mechanism, the choice is entirely yours.
Both mechanisms may be used simultaneously in relation to the same service requirement. You are under no obligation to engage any Service Professional who contacts you or whom you contact through the Platform.
2.4 OTP Verification
To access certain features of the Platform, including submitting a service request and browsing the Seller Listings, you will be required to complete OTP Verification. Leadzo will send a one-time password to your registered mobile number or email address. If your contact details cannot be verified, or if the IP address associated with your request does not correspond to the location of the service requested, or falls outside the geographic area in which the Platform operates, your request may be rejected. You must ensure that the contact details you provide are accurate, current, and belong to you.
2.5 No Guarantee of Availability or Suitability
Leadzo cannot guarantee that Service Professionals will be available for every service request submitted, or that any Service Professional identified through the Facilitation Services will be able to fulfil your specific requirements. Where Leadzo is unable to identify any suitable Service Professionals for your request, you will be notified and given the opportunity to modify your requirements. Leadzo does not verify, endorse, or make any representation as to the quality, professional standing, suitability, reliability, or legal compliance of any Service Professional listed on the Platform. It is your sole responsibility to conduct appropriate due diligence and to satisfy yourself as to the suitability of any Service Professional before entering into a Service Contract.
2.6 Service Contract Independence
If you engage a Service Professional through the Platform, you will enter into a Service Contract directly with that Professional. The terms, pricing, scope, and performance obligations of the Service Contract are determined solely by you and the Service Professional. Leadzo is not a party to any Service Contract, does not supervise or control the performance of End Services, and bears no liability for any failure, deficiency, negligence, or other breach by a Service Professional in the performance of End Services. Your consumer rights in respect of End Services lie against the Service Professional directly under the Service Contract and applicable consumer protection law.
2.7 Reviews of Service Professionals
Following an engagement with a Service Professional, you may submit a rating and written review on the Platform. Reviews must be honest, based on your own genuine experience, and must not contain defamatory, offensive, sexually explicit, or violent content; content that constitutes harassment, discrimination, or racial or religious aggravation; personally identifiable information of third parties; content that infringes any intellectual property right; or content that is false or known to be inaccurate. Leadzo reserves the right to remove reviews that do not comply with these guidelines and may restrict your ability to submit further reviews. Reviews that comply with these guidelines will be made publicly visible on the Platform and may be seen by other prospective Buyers.
3. Buyer Eligibility and Obligations
3.1 Eligibility
The Platform is available to natural persons who are not less than eighteen (18) years of age and possess full legal capacity to contract under the Indian Contract Act, 1872, and to duly incorporated legal entities constituted under the laws of India. By using the Platform, you represent that you satisfy these eligibility requirements.
3.2 Accuracy of Information
You must ensure that all information you provide on the Platform, including in your service request, questionnaire responses, contact details, and account profile, is true, accurate, current, and complete. You must promptly update any information that is or becomes false, inaccurate, or incomplete. Leadzo reserves the right to reject, suspend, or terminate your access to the Platform if you provide false or misleading information.
3.3 Account Security
Where you have created an account on the Platform, you are responsible for maintaining the confidentiality and security of your account credentials. You must not share your credentials with any third party. You must notify Leadzo immediately at support@leadzo.co.in upon becoming aware of any unauthorised access to or use of your account. Leadzo shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
3.4 Permitted Use
You may use the Platform and the Facilitation Services solely for the purpose of finding and engaging Service Professionals for lawful personal, domestic, or business requirements. You must not use the Platform for any unlawful purpose, or in any manner that contravenes applicable Indian law or these Terms.
3.5 Prohibited Conduct
You must not, and must ensure that no person acting on your behalf:
3.5.1 Submits false, fraudulent, or misleading service requests on the Platform, or provides contact details that are not your own.
3.5.2 Uses the Platform to contact Service Professionals for purposes unrelated to a genuine service requirement.
3.5.3 Uploads, posts, or transmits through the Platform any content that is defamatory, obscene, offensive, threatening, harassing, or that infringes the intellectual property rights or privacy rights of any person.
3.5.4 Attempts to reverse-engineer, decompile, scrape, copy, or create derivative works from any part of the Platform or its underlying technology.
3.5.5 Introduces or attempts to introduce any virus, malware, or other harmful or disruptive code into Leadzo's systems, networks, or infrastructure.
3.5.6 Uses the Platform in any manner that could damage, disable, or impair its operation or interfere with any other user's use of the Platform.
3.5.7 Impersonates any person or entity, or misrepresents your identity or affiliation with any person or entity, in connection with your use of the Platform.
3.5.8 Uses any automated tool, robot, or scraper to access the Platform or extract data from it.
4. Communications, Marketing Consent, and Outreach
4.1 Express Consent to Communications
Notice: By submitting a service request on the Platform, completing OTP Verification, or creating an account, you freely, expressly, specifically, and unambiguously consent, within the meaning of the Digital Personal Data Protection Act, 2023, and in compliance with the Telecom Commercial Communications Customer Preference Regulations, 2018 ('TCCCPR') issued by the Telecom Regulatory Authority of India ('TRAI'), to being contacted by Leadzo Technologies Private Limited, its customer success team, sales representatives, account managers, and authorised third-party service providers, through the following channels and for the purposes described in Clause 4.2:
- Telephone calls, including outbound calls placed by Leadzo's team and automated or AI-assisted calling systems
- WhatsApp messages, including broadcast and individual agent-initiated messages
- Short Message Service (SMS), whether automated or manually initiated
- Electronic mail (email), including automated sequences and agent-initiated correspondence
- In-application push notifications and Platform messaging
This consent encompasses commercial, marketing, and transactional communications and constitutes your prior express written consent for the purposes of the TCCCPR, 2018, and your free and informed consent for the purposes of the DPDP Act, 2023.
4.2 Purposes of Communications
Leadzo and its authorised representatives may contact you through the channels identified in Clause 4.1 for the following purposes:
4.2.1 Service request updates, to notify you when Service Professionals have been matched to your request, when a Professional has responded, or when your request status has changed.
4.2.2 Job completion and hiring confirmation, to follow up with you after a service engagement to confirm whether you have hired a Service Professional and, if so, which Professional you engaged. This information helps Leadzo maintain the integrity of the Platform and supports accurate reporting for Service Professionals.
4.2.3 Review and rating requests, to invite you to submit a rating and written review of a Service Professional following a completed or attempted engagement. These communications may be sent by email, WhatsApp, or SMS, and form an integral part of the Platform's quality assurance mechanism.
4.2.4 Platform improvement and feedback, to seek your feedback on the Platform and the Facilitation Services through surveys, questionnaires, or direct outreach, to assist Leadzo in improving the user experience.
4.2.5 Marketing and promotional communications, to inform you of new features, service categories, seasonal promotions, referral programmes, industry updates, and other offers available on the Platform that Leadzo believes may be of interest to you.
4.2.6 Account and transactional communications, to send you account-related notifications, OTP verifications, request confirmations, Platform policy updates, and other communications necessary for Leadzo to provide the Facilitation Services.
4.2.7 Compliance and legal communications, to communicate with you as required under applicable law or by regulatory direction.
4.3 DND Registry and TRAI Compliance
By providing your mobile number and using the Platform, you acknowledge and confirm that you have opted in to receive commercial and transactional communications from Leadzo as described in Clause 4.1. This express opt-in constitutes sufficient prior written consent under the TCCCPR, 2018 to authorise Leadzo to contact you even where your mobile number is registered on the National Customer Preference Register ('NCPR') or Do Not Disturb ('DND') database maintained by TRAI, to the extent permitted under applicable TRAI regulations in respect of services you have requested or used from Leadzo.
4.4 Withdrawal of Consent to Marketing Communications
You may withdraw your consent to marketing and promotional communications at any time by submitting an unsubscribe request to support@leadzo.co.in with the subject line 'UNSUBSCRIBE', by following the unsubscribe mechanism included in any marketing email or WhatsApp communication, or by updating your communication preferences through your account settings on the Platform. Leadzo will process your withdrawal within ten (10) business days of receipt.
The withdrawal of consent to marketing and promotional communications will not affect your receipt of transactional, account management, service request, job completion, and review request communications, which form an integral part of the Facilitation Services. These operational communications cannot be opted out of while you remain a registered user of the Platform, as they are necessary for Leadzo to provide the Facilitation Services effectively.
4.5 Call Recording
Leadzo may record outbound and inbound telephone calls involving Buyers for the purposes of quality assurance, training, regulatory compliance, and dispute resolution. By accepting these Terms, you consent to the recording of calls made to or received from Leadzo. You may withdraw consent in respect of a specific call by notifying Leadzo's representative at the commencement of that call.
5. Ranking Criteria for Service Professionals
5.1 Algorithm-Based Ranking
When you submit a service request or browse the Seller Listings, Leadzo's algorithm generates a ranked list of Service Professionals whose profiles correspond to your stated requirements. Leadzo provides this ranking to assist you in identifying potentially suitable Professionals. The algorithm considers such factors as Leadzo determines relevant from time to time, which may include:
- The completeness and currency of the Service Professional's profile
- The Service Professional's ratings and review score on the Platform
- The Service Professional's Lead response rate and speed
- The Service Professional's level of activity on the Platform
- The Service Professional's verification status
- Whether the Service Professional subscribes to Leadzo Advantage, Leadzo's optional paid subscription plan for Professionals
5.2 Ranking Does Not Constitute Endorsement
The ranking of Service Professionals by Leadzo's algorithm does not constitute an endorsement, recommendation, or warranty by Leadzo as to the suitability, quality, professional standing, or reliability of any Service Professional. A higher ranking reflects certain platform activity criteria and does not indicate that the Service Professional is better qualified, more experienced, or more suitable for your specific requirements. You are solely responsible for conducting your own due diligence and for evaluating any Service Professional before entering into a Service Contract.
5.3 Buyer's Freedom of Choice
The existence of a default ranking algorithm does not in any way restrict your freedom to choose any Service Professional available on the Platform, regardless of their ranking. You may contact any Service Professional through the Buyer-Initiated Contact mechanism described in Clause 2.3(b) at your sole discretion. The algorithm is a tool to assist your search and does not limit your choices.
6. Protecting Buyers from Unlawful Content
6.1 Leadzo's Approach to Content Safety
The Platform allows Service Professionals to post and upload content on their profiles, including descriptions, images, and portfolio materials, and to use tools to communicate with Buyers. While Leadzo endeavours to monitor activity on the Platform, it is possible that unlawful or harmful content may be posted by a third party from time to time. Leadzo's liability in respect of third-party content is governed by Section 79 of the IT Act and the IT Rules, 2021.
6.2 Definition of Unlawful Content
For the purposes of this Clause 5, 'unlawful content' includes:
6.2.1 Any text, image, video, or other material posted on the Platform that is illegal under applicable Indian law, including content depicting sexually explicit or violent material, content constituting harassment, or content amounting to racial, religious, or other forms of discrimination.
6.2.2 Any Service Professional profile offering illegal goods or services, including narcotics, prohibited weapons, or counterfeit products.
6.2.3 Any Service Professional operating fraudulently, without the necessary licences or registrations required for the End Services offered, or with a view to committing a criminal offence.
6.3 Steps Taken by Leadzo
Leadzo takes the following measures to minimise the risk of unlawful content appearing on the Platform:
- Profile moderation, Leadzo employs a combination of keyword monitoring and manual review to identify content or profiles that may be unlawful, inappropriate, or harmful. Profiles flagged through this process are investigated and unlawful content is promptly removed.
- Verification checks, Leadzo may carry out identity verification and business registration checks on Service Professionals as part of the onboarding process.
- User reports, Leadzo investigates all reports submitted by users in respect of unlawful content and removes content and/or profiles found to be unlawful.
- IP address screening, Leadzo may automatically restrict access from IP addresses associated with high-risk activity.
6.4 Reporting Unlawful Content
If you encounter any content on the Platform that you believe to be unlawful within the meaning of Clause 6.2, you may report it to Leadzo by emailing legal@leadzo.co.in with a description of the content and the URL or profile at which it appears. Leadzo will investigate all reports and, where unlawful content is confirmed, will remove it as promptly as reasonably possible. Leadzo will acknowledge receipt of your report within twenty-four (24) hours and will endeavour to resolve it within fifteen (15) days, in accordance with Rule 3(2)(d) of the IT Rules, 2021.
6.5 Complaints Regarding Unlawful Content Process
If you wish to complain about Leadzo's handling of an unlawful content report, or if you believe that Leadzo is not meeting its obligations under applicable law in relation to unlawful content, you may submit a complaint through the grievance redressal process set out in Clause 10.3 of these Terms.
7. Data Protection and Your Rights as a Data Principal
7.1 Leadzo as Data Fiduciary
Leadzo Technologies Private Limited acts as a Data Fiduciary within the meaning of Section 2(i) of the Digital Personal Data Protection Act, 2023, in respect of Personal Data collected from and about Buyers through the Platform. Leadzo processes your Personal Data in accordance with the DPDP Act, 2023, and its Privacy Policy, which is published on the Platform and incorporated into these Terms by reference. Please read the Privacy Policy carefully for full details of how Leadzo collects, uses, stores, and shares your Personal Data.
7.2 Personal Data Collected from Buyers
In the course of providing Facilitation Services to you, Leadzo may collect the following categories of Personal Data from you:
- Identity and contact information, your name, mobile number, email address, and location.
- Service request data, the details of your service requirement as provided in your questionnaire responses.
- Verification data, OTP verification records and IP address information.
- Platform usage data, information about how you interact with the Platform, including pages visited, time spent, and browser and device information.
- Review and communication data, reviews you submit in respect of Service Professionals and communications you conduct through the Platform.
7.3 How Leadzo Uses Your Personal Data
Leadzo uses your Personal Data for the following purposes:
7.3.1 To verify your identity and contact details through OTP Verification and to process your service request.
7.3.2 To match your service request with relevant Service Professionals and to share your contact details with those Professionals who have been matched to your request, so that they may contact you directly.
7.3.3 To enable you to browse the Seller Listings and to facilitate direct contact between you and Service Professionals you select.
7.3.4 To display your reviews of Service Professionals on the Platform.
7.3.5 To send you transactional and account-related communications, including request confirmations, platform updates, and notifications.
7.3.6 To comply with applicable legal and regulatory obligations, including obligations under the IT Rules, 2021, and the DPDP Act, 2023.
7.3.7 To improve the Platform and the Facilitation Services through analysis of usage data.
7.4 Sharing Your Personal Data with Service Professionals
By submitting a service request through the Platform, you acknowledge and consent to Leadzo sharing your contact details and service requirement information with Service Professionals who are matched to your request or whom you directly contact. Service Professionals who receive your Personal Data are independent Data Fiduciaries under the DPDP Act, 2023, and are separately responsible for their own compliance with applicable data protection law in respect of their handling of your Personal Data. Leadzo is not responsible for how any Service Professional uses your Personal Data after it has been shared with them.
7.5 Your Rights as a Data Principal
As a Data Principal under the DPDP Act, 2023, you have the following rights in respect of your Personal Data held by Leadzo:
7.5.1 Right of access, the right to obtain a summary of the Personal Data held about you by Leadzo and information about the manner in which such data has been processed, pursuant to Section 11 of the DPDP Act, 2023.
7.5.2 Right to correction and erasure, the right to request the correction of inaccurate or incomplete Personal Data, and the erasure of Personal Data that is no longer necessary for the purpose for which it was collected, pursuant to Section 12 of the DPDP Act, 2023.
7.5.3 Right to grievance redressal, the right to have any grievance in connection with the processing of your Personal Data addressed by Leadzo, pursuant to Section 13 of the DPDP Act, 2023. Grievances may be submitted to legal@leadzo.co.in.
7.5.4 Right to nominate, the right to nominate another individual to exercise your rights under the DPDP Act on your behalf in the event of your death or incapacity, pursuant to Section 14 of the DPDP Act, 2023.
To exercise any of the above rights, please submit a written request to support@leadzo.co.in. Leadzo will respond to all valid requests within the timeframes prescribed under the DPDP Act, 2023.
7.6 Marketing Communications
Leadzo may, with your consent, send you marketing communications about the Platform and its services. You may withdraw your consent to receive marketing communications at any time by following the unsubscribe instructions in any marketing email or by emailing support@leadzo.co.in with the subject line 'UNSUBSCRIBE'. Withdrawal of consent to marketing communications does not affect your receipt of transactional and account-related communications that are necessary for Leadzo to provide the Facilitation Services.
7.7 Data Retention
Leadzo retains your Personal Data for so long as is necessary to provide the Facilitation Services and to fulfil Leadzo's legal and regulatory obligations. Upon the expiry of the applicable retention period, your Personal Data will be anonymised or deleted in accordance with Leadzo's data retention policy and the requirements of the DPDP Act, 2023.
8. Buyer Content and Intellectual Property
8.1 Buyer Content
You retain all intellectual property rights in and to any User Content that you submit to the Platform. By submitting User Content, you grant Leadzo a non-exclusive, royalty-free, worldwide licence to use, reproduce, display, and distribute your User Content solely for the purposes of operating and providing the Facilitation Services. You represent and warrant that you own or have the right to submit all User Content you provide, and that such User Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party.
8.2 Leadzo's Intellectual Property
All intellectual property rights in and to the Platform, including its software, algorithms, databases, designs, trade marks, logos, and all content other than User Content, vest in and remain the exclusive property of Leadzo Technologies Private Limited or its licensors. Nothing in these Terms grants you any right, title, or interest in or to any of Leadzo's intellectual property. You may not copy, reproduce, reverse-engineer, decompile, modify, or create derivative works from any part of the Platform without Leadzo's prior written consent.
8.3 Third-Party Websites
The Platform may contain links to third-party websites or resources, including Service Professional websites. Leadzo does not control, endorse, or accept responsibility for the content, privacy practices, or legal compliance of any third-party website. Your use of any linked third-party website is entirely at your own risk and is subject to that website's own terms and conditions.
9. Termination of Access
9.1 Termination by You
You may cease using the Platform and the Facilitation Services at any time. If you have created an account on the Platform, you may request the closure of your account by emailing support@leadzo.co.in. The termination of your access to the Platform does not affect any Service Contract you may have entered into with a Service Professional prior to termination, which continues to be governed by its own terms.
9.2 Termination or Suspension by Leadzo
Leadzo reserves the right to suspend or terminate your access to the Platform at any time, including where:
9.2.1 You breach any provision of these Terms.
9.2.2 You provide false, fraudulent, or materially inaccurate information on the Platform.
9.2.3 Your use of the Platform is or is likely to be unlawful or harmful to Leadzo, other users of the Platform, or any third party.
9.2.4 A regulatory authority, court, or law enforcement body requires Leadzo to suspend or terminate your access.
Where Leadzo suspends or terminates your access for cause, Leadzo will endeavour to provide you with a written statement of the reasons for such action, subject to any legal or regulatory constraints that prevent such disclosure. You may raise a complaint through the grievance redressal process set out in Clause 10.3.
9.3 Effect of Termination
Upon termination or suspension of your access to the Platform, your right to use the Facilitation Services shall cease. Clauses 3 (Buyer Obligations), 7 (Data Protection), 8 (Intellectual Property), 10 (Liability), and 12 (Dispute Resolution) shall survive the termination of these Terms and remain in full force and effect.
10. Disclaimer, Liability, and Grievance Redressal
10.1 Disclaimer
The Platform and the Facilitation Services are provided on an 'as is' and 'as available' basis. To the fullest extent permitted by applicable Indian law, Leadzo does not make any representation or warranty, whether express, implied, or statutory, as to the accuracy, completeness, reliability, or fitness for purpose of any information on the Platform, including information contained in Service Professional profiles. Leadzo does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.
The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 confer certain rights on Buyers as consumers that cannot be excluded or limited by contract. Nothing in these Terms operates to exclude or restrict any right that you have under applicable consumer protection law that cannot lawfully be excluded.
10.2 Limitation of Liability
To the fullest extent permissible under applicable Indian law:
10.2.1 Leadzo shall not be liable, whether in contract, tort (including negligence), or otherwise, for the quality, safety, legality, fitness for purpose, or any other characteristic of the End Services provided by any Service Professional.
10.2.2 Leadzo shall not be liable for any dispute, loss, damage, or liability arising between a Buyer and a Service Professional from or in connection with any Service Contract or the provision of End Services.
10.2.3 Leadzo shall not be liable for any loss of profit, loss of business, business interruption, loss of savings, or any indirect, special, incidental, consequential, or punitive loss or damage of any kind arising from your use of the Platform or the Facilitation Services.
10.2.4 Leadzo's maximum aggregate liability to you under or in connection with these Terms, from any cause of action whatsoever, shall in no event exceed the amount, if any, paid by you to Leadzo in connection with your use of the Platform during the six (6) calendar months preceding the event giving rise to the relevant claim. As the Facilitation Services are provided to Buyers free of charge, this amount will in most cases be nil.
Nothing in these Terms excludes or limits Leadzo's liability for death or personal injury caused by Leadzo's own negligence, fraud or fraudulent misrepresentation by Leadzo, or any other liability that cannot lawfully be excluded or limited under applicable Indian law, including rights conferred by the Consumer Protection Act, 2019.

Leadzo will acknowledge any complaint submitted to the Grievance Officer within twenty-four (24) hours of receipt and will resolve the complaint within fifteen (15) days of the date of receipt, in compliance with Rule 3(2)(d) of the IT Rules, 2021.
11. General Provisions
11.1 Amendments
Leadzo reserves the right to amend, modify, or supplement these Terms at any time at its sole discretion. Amended Terms will be published on the Platform with an updated effective date, and Leadzo will endeavour to notify registered Buyers of material amendments by email or through in-Platform communication. Your continued use of the Platform following the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not accept the amended Terms, you must cease use of the Platform.
11.2 Assignment
Leadzo may assign, novate, or transfer its rights and obligations under these Terms to any affiliate, successor entity, or acquirer, without prior notice to or consent of the Buyer. You may not assign or transfer any of your rights or obligations under these Terms without Leadzo's prior written consent.
11.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
11.4 Waiver
No failure or delay by Leadzo in exercising any right under these Terms shall operate as a waiver of that right. No waiver shall be effective unless made in writing by an authorised representative of Leadzo.
11.5 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any other policies incorporated by reference herein, constitute the entire agreement between you and Leadzo with respect to your use of the Platform and the Facilitation Services, and supersede all prior agreements, representations, and understandings between the parties in relation thereto.
11.6 Force Majeure
Leadzo shall not be liable for any failure or delay in providing the Platform or the Facilitation Services due to causes beyond its reasonable control, including acts of God, flood, earthquake, pandemic, epidemic, governmental restriction, civil unrest, war, terrorism, failure of utility services, internet or telecommunications network failures, or industrial action.
11.7 Relationship of Parties
Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchise relationship between you and Leadzo.
11.8 Third-Party Rights
These Terms do not confer any right, benefit, or remedy upon any person who is not a party to this Agreement.
11.9 Language
These Terms are in the English language, which shall be the governing language for all purposes. In the event of any conflict between the English version and any translation, the English version prevails.
12. Dispute Resolution, Governing Law, and Jurisdiction
12.1 Amicable Resolution
If a dispute arises between you and Leadzo in connection with these Terms or your use of the Platform, both parties will first endeavour to resolve the dispute through good faith negotiation. You may raise a dispute by emailing support@leadzo.co.in with a description of your complaint. Leadzo will endeavour to respond and resolve the dispute within thirty (30) calendar days.
12.2 Mediation
If a dispute is not resolved through amicable negotiation within thirty (30) calendar days, either party may refer the dispute to mediation in accordance with the Mediation Act, 2023. Mediation will be conducted in Bengaluru, Karnataka, in the English language.
12.3 Arbitration
If a dispute is not resolved through mediation, it shall be referred to final and binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996 (as amended by the Arbitration and Conciliation (Amendment) Act, 2019), before a sole arbitrator appointed by mutual agreement of the parties. The seat and venue of arbitration shall be Bengaluru, Karnataka. The language of arbitration shall be English. The arbitral award shall be final and binding upon both parties.
12.4 Governing Law
These Terms and all disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.
12.5 Courts of Jurisdiction
Subject to the arbitration provisions of Clause 12.3, the courts of competent jurisdiction in Bengaluru, Karnataka, India, shall have exclusive jurisdiction over all matters arising out of or in connection with these Terms.
12.6 Limitation Period
Any cause of action or claim arising out of or in connection with the Platform, the Facilitation Services, or these Terms must be commenced within one (1) year of the date on which such cause of action first arose. Any claim not brought within this period shall be permanently time-barred.
BY SUBMITTING A SERVICE REQUEST, COMPLETING OTP VERIFICATION, BROWSING THE SELLER LISTINGS, OR ACCESSING OR USING ANY PART OF THE PLATFORM, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS IN FULL AND AGREE TO BE BOUND BY THEM.
